1. Agreement
By creating an account, signing in (including with Google), downloading Mutero Desktop, or otherwise using Mutero, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you use Mutero on behalf of a company, you represent that you have authority to bind that company.
2. The service
Mutero provides software tools for ZIMRA fiscalisation workflows, including Virtual Fiscal Devices, fiscal invoicing, desktop agents, Excel add-ins, APIs, and connectors to accounting systems. Features available to you depend on your plan, trial status, and configuration.
Mutero is a technology platform. You remain responsible for the accuracy of taxpayer information, invoice data, tax classifications, and filings you submit through ZIMRA FDMS or related systems.
3. Accounts and access
- You must provide accurate registration information and keep it updated.
- You are responsible for safeguarding credentials, API keys, and devices used with Mutero. Enable two-factor authentication where available.
- Google Sign-In is optional. Linking a Google account is subject to Google's terms as well as these Terms.
- Team seats and roles must be managed by your organisation. You are responsible for activity under your account and invited users.
4. Trials, billing, and plans
New accounts may receive a free trial as described at signup or on our pricing page. Paid plans are billed via our configured payment methods (including Paynow). Fees, renewal, grace periods, and downgrades follow the plan terms shown in the product at the time of purchase. Failure to pay may result in suspension of paid features after any applicable grace period.
5. Acceptable use
You agree not to:
- Use Mutero for unlawful activity or to submit false fiscal documents
- Attempt to bypass authentication, quotas, or security controls
- Reverse engineer or resell the service except as expressly permitted (for example under a partner agreement)
- Interfere with other customers or the integrity of FDMS / integration partners
- Upload malware or abusive content
6. Customer data and fiscal records
You retain ownership of your business content. You grant Mutero a limited licence to host, process, and transmit that content solely to provide the service (including submitting receipts to ZIMRA and syncing with systems you connect). You represent that you have the rights to provide this data and to authorise those transmissions.
7. Integrations and third parties
Optional connectors (accounting software, cloud storage, email, payment providers, Google, etc.) are governed by those providers' terms. Mutero is not responsible for outages, data handling, or policy changes of third-party services you choose to enable.
8. Intellectual property
Mutero software, branding, documentation, and non-customer content are owned by Mutero or its licensors. These Terms do not transfer ownership of our IP to you. Feedback you provide may be used to improve the product without obligation to you.
9. Disclaimer
The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that fiscal submissions will always be accepted by ZIMRA when upstream systems reject or delay requests.
10. Limitation of liability
To the fullest extent permitted by law, Mutero and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of these Terms or the service will not exceed the fees you paid to Mutero for the service in the twelve (12) months before the claim (or USD 100 if you are on a free trial with no fees paid).
11. Suspension and termination
You may stop using Mutero at any time. We may suspend or terminate access for material breach, non-payment, abuse, legal risk, or extended inactivity. Provisions that by nature should survive (including IP, liability limits, and indemnity-style obligations) survive termination.
12. Changes to the service or Terms
We may modify features or these Terms. Material changes to Terms will be reflected by updating the date on this page and, where appropriate, notice in-product or by email. Continued use after the effective date constitutes acceptance where allowed by law.
13. Governing law
These Terms are governed by the laws of Zimbabwe. Courts located in Zimbabwe have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply.
